State officials are warning about a corporate records service scam that has been mailed to several Delaware corporations. The solicitations urge corporations to file information and send a $125 payment in order to complete corporate meeting minutes on behalf of the corporation. These solicitations appear to be aimed to coincide with the March 1 due date for the annual corporation franchise tax reports, however Delaware corporations are NOT required by Delaware law to file corporate minutes with the Secretary of State or the Division of Corporations. The solicitation comes from a company named Corporate Records Service. Remember that any official notice that’s received from the Division of Corporations will also contain the state coat of arms as well as contact information for the Division of Corporations.
